Terms of Service

These Terms of Service ("Terms") are an agreement between you and SermonWave ("SermonWave", "we", "us"). They cover your use of the SermonWave website, dashboard, listener pages, apps and related services (together, the "Service"). By creating an account, checking the box at signup or using the Service, you agree to these Terms. If you accept them on behalf of a church or other organization, you confirm that you are authorized to bind that organization, and "you" means the organization.

1. The Service

SermonWave provides live transcription and translation of sermons and other church services. Audio is captured with a web device (a browser on a computer at your church), with a SermonWave hardware device, or with other capture methods we offer. The Service turns that audio into live captions, translated text and synthesized translated speech for listeners, and into an archive of recordings, transcripts, translations and summaries. It also publishes church and sermon pages that search engines can index.

2. Accounts

• You must provide accurate information when you create an account and keep it up to date.
• You are responsible for keeping your password and your devices' credentials secure, and for all activity under your account, including activity by users you invite.
• You must be at least 18 years old to create an account.
• Tell us right away at team@sermonwave.com if you believe your account has been accessed without your permission.

3. Free trial

New accounts start with a free trial of 14 days. During the trial you may use the Service without usage limits, with 1 capture device in total. No payment card is required to start a trial. When the trial ends without a paid plan, live transcription and translation and new recordings stop. Your dashboard, your existing archive and your public sermon pages remain available, subject to these Terms. We may change or end trial offers for future signups at any time, and we may limit trials to one per church.

4. Plans, billing and cancellation

Paid plans are billed monthly in U.S. dollars. Current plans are:

• Hardware plan. We also offer a plan that includes SermonWave hardware; its terms will be provided separately when you purchase it.
• Video capability. Video capture and video translation are not yet available. The Video plan is sold now, and video features will switch on for Video subscribers when they are released. We do not promise a release date.
• Plans stack. You may combine plans and add devices on one account. All plans and add-ons on your account are billed together on one monthly subscription.
• Payments. Payments are processed by Stripe. By subscribing you authorize us, through Stripe, to charge your payment method each month until you cancel. Prices do not include taxes, which we may add where required.
• Changes and proration. When you add or remove a plan or device during a billing period, the charge for the rest of that period is prorated and appears on your next invoice or is charged right away, as shown at checkout.
• Cancellation. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then. Except as required by law or as stated in the next item, fees already paid are not refunded.
• Money-back guarantee. If you are not satisfied, contact us within 30 days of your first paid charge and we will refund that first charge.
• Failed payments. If a payment fails, we will try again and let you know. If it is still unpaid after a reasonable grace period, we may pause live features until the balance is paid.
• Price changes. We may change prices with at least 30 days' notice by email. Changes apply from your next billing period after the notice period ends. If you do not agree, you may cancel before the change takes effect.
• Existing customers. Accounts created before self-serve plans launched may have separate arrangements with us, which continue to apply.

5. Your content

"Customer Content" means the audio you capture, and the recordings, transcripts, translations, summaries, synthesized audio, images, church profile details and other material you submit or that the Service generates from your submissions.

• You own your content. As between you and us, you (or your licensors) own your Customer Content.
• License to us. You grant SermonWave a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transcribe, translate, synthesize, summarize, index, display, stream and distribute Customer Content. This license is only for operating, providing, securing and improving the Service. It includes displaying content on listener pages and public church and sermon pages as described in section 6. It ends when your content is deleted from the Service, except for copies kept in backups for a limited time, or as required by law.
• Your responsibilities. You confirm that you have the rights needed to record, transcribe, translate and publish the content you capture. This includes the speaker's permission and rights to any music or third-party material. Avoid capturing sensitive personal information about others (for example, private prayer requests read aloud) unless you have the right to share it.
• No AI training. We do not use your audio, transcripts, translations or other Customer Content to train or tune AI models.
• Aggregated data. We may use aggregated or de-identified usage information, which does not identify you or your listeners, to operate and improve the Service.

6. Public pages and visibility

The Service can publish a church page, sermon pages, topic and scripture pages, listener pages and sitemaps so that people can find your sermons, including through search engines and AI assistants. You control each sermon's visibility in your dashboard:

• Public: shown on your church and sermon pages and listener pages, and may be included in sitemaps and indexed by search engines.
• Unlisted: available to anyone who has the link, but not listed on your pages or included in sitemaps.
• Private: visible only to your account's users in the dashboard.

Search engines and other third parties may keep copies of public pages after you change a sermon's visibility or delete it. We cannot control how long those copies remain.

7. AI-generated output

Transcripts, translations, synthesized speech and summaries are produced automatically by speech recognition, machine translation and other AI models. They may contain errors, omissions or mistranslations, including of names, scripture references and theological terms. They are provided to help people follow along. They are not a substitute for professional human translation or interpretation, and should not be relied on where accuracy is critical, such as legal, medical or safety matters. You are responsible for reviewing output before you publish or share it.

8. Listeners

People who listen through SermonWave listener pages (for example, /listen links or QR codes) may use them free of charge for personal, non-commercial purposes. Listeners may not record, republish or redistribute sermons except as the church allows. Information a listener chooses to send to a church through a listener page, such as a prayer request or a contact request, is shared with that church, and the church is responsible for how it uses that information.

9. Acceptable use

You agree not to use the Service to:

• break any law, or infringe anyone's intellectual property, privacy or publicity rights;
• record people without any notice or consent that the law requires;
• publish content that is unlawful, harassing, hateful or threatening, that incites violence, or that sexually exploits anyone;
• upload malware, or attempt to gain unauthorized access to the Service, other accounts or our systems;
• interfere with the Service, overload it, or use it in ways that place an unreasonable load on our infrastructure;
• reverse engineer the Service or the software on any SermonWave device, except where the law allows it;
• resell or sublicense the Service without our written permission; or
• scrape the Service, or use it to build a competing product.

We may remove content or restrict features that violate these Terms.

10. Privacy

Our Privacy Policy explains what information we collect and how we use it. You are responsible for giving any notices to your congregation and listeners that apply where you are, for example that services are recorded, transcribed and published.

11. Availability and changes to the Service

We work to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. We provide no service level agreement (SLA) unless we have signed one with you in writing. Live features depend on your internet connection, your audio equipment and third-party networks. We may perform maintenance, and we may change, add or remove features. If we remove a material paid feature, we will give reasonable notice.

12. Suspension and termination

• You may stop using the Service and cancel your plan at any time.
• We may suspend or end your access if you materially breach these Terms, if payment is overdue after the grace period, or if needed to prevent harm to the Service, other users or the public. Where reasonable, we will give notice first.
• After your account is closed, we may delete Customer Content after 30 days. You may ask us to export or delete your content before then. Public pages for a closed account may be removed.
• Sections that by their nature should survive termination will survive, including 5, 7 and 13–18.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of transcription or translation.

14. Limitation of liability

To the fullest extent permitted by law, SermonWave and its affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to the Service, even if we have been told they are possible. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or $100. Some jurisdictions do not allow some of these limits, so they may not apply to you.

15. Indemnity

You will defend and indemnify SermonWave against third-party claims arising from your Customer Content or your breach of these Terms. You will also cover the resulting losses and reasonable costs.

16. Governing law

These Terms are governed by the laws of the State of [State], U.S.A., without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in [County], [State], and both parties consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and update the "Last updated" date. If a change is material, we will also notify account owners by email or in the dashboard at least 30 days before it takes effect. By continuing to use the Service after the effective date, you accept the updated Terms.

18. General

These Terms, together with the Privacy Policy and any order or written agreement with us, are the entire agreement between you and SermonWave about the Service. If any provision is found unenforceable, the rest remains in effect. If we do not enforce a provision, we have not waived it. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. If these Terms are translated, the English version controls.
